Terms of Service

By accessing or using the Vertex messaging platform, website, APIs, SDKs and related services (collectively, the 'Services'), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a legal entity, you represent that you have the authority to bind that entity. If you do not agree to any part of these terms, you must not use the Services.

Vertex provides a cloud-based communication platform that enables businesses to send and receive SMS messages, OTP codes, WhatsApp messages, and other electronic communications through REST APIs, SDKs, SMPP gateway connections and a web dashboard. Services are delivered over the internet and may be subject to limitations inherent in public telecommunications networks.

As a user of Vertex's Services, you agree to:

• Provide accurate and complete registration information and keep it updated.
• Maintain the confidentiality of your API keys, account credentials and access tokens.
• Use the Services in compliance with all applicable laws, including PTA regulations, DND rules and data protection laws.
• Obtain all necessary consents from message recipients before sending communications.
• Not use the Services for spam, phishing, fraud, harassment or any illegal activity.
• Not attempt to circumvent rate limits, access controls or abuse the platform in any manner.
• Promptly report any security breach or unauthorised use of your account.

Usage of the Services is billed based on the number of messages delivered, API calls made, and any additional services subscribed to. Fees are deducted from your prepaid wallet balance. All fees are exclusive of taxes, which will be added as applicable. We reserve the right to modify pricing with 30 days' notice. Late payments may result in service suspension. Wallet balances are non-refundable except as required by law.

Vertex commits to 99.99% platform uptime for enterprise customers with a signed SLA. Uptime is calculated monthly, excluding scheduled maintenance (notified at least 72 hours in advance) and events outside our reasonable control (force majeure, operator network outages, internet disruptions). Credits are issued per the SLA schedule if uptime falls below the committed threshold. Standard (non-enterprise) accounts are provided on a best-effort basis without a formal SLA.

The following uses of Vertex's Services are strictly prohibited:

• Sending unsolicited bulk messages (spam) to any recipient.
• Transmitting content that is defamatory, obscene, threatening or otherwise illegal.
• Using misleading sender IDs or impersonating any person or entity.
• Distributing malware, viruses or any harmful code through the platform.
• Engaging in any activity that interferes with or disrupts the Services.
• Circumventing geographical restrictions or accessing the Services from sanctioned jurisdictions.

Violation of this policy may result in immediate suspension and forfeiture of wallet balance.

The Vertex platform, including its software, APIs, documentation, trademarks, logos and brand elements, is the exclusive property of Vertex Communications (Pvt) Ltd. You are granted a limited, non-exclusive, non-transferable license to use the Services during the term of your account. You may not reproduce, modify, reverse engineer, or create derivative works of Vertex's intellectual property without prior written consent.

To the maximum extent permitted by law, Vertex shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, business opportunity or goodwill, arising out of or in connection with the use of the Services. Our total aggregate liability for any claim shall not exceed the total fees paid by you in the 12 months preceding the claim. This limitation does not apply to liability for death, personal injury, fraud or gross negligence.

Either party may terminate these terms at any time with 30 days' written notice. Vertex may suspend or terminate your account immediately if you breach any material term of these terms, violate the acceptable use policy, or if your actions create legal or regulatory risk. Upon termination, your access to the Services will cease, and any unused wallet balance will be forfeited. Sections related to fees, liability, intellectual property and governing law survive termination.

These Terms of Service are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan. The parties agree to attempt resolution through good-faith negotiations before initiating formal proceedings.
